(Bloomberg) — China Rongsheng Heavy Industries Group Holdings Ltd., once the country’s largest private shipyard, said it will not proceed with a proposed warrant sale after a potential investor who pledged as much as HK$3.2 billion ($413 million) was detained.
Wang’s detention occurred days before China Rongsheng shareholders are to meet March 13 to vote on the investment by Kingwin Victory. The firm agreed in October to pay at least HK$510 million for warrants Rongsheng is selling, and its total investment could reach HK$3.2 billion.
Rongsheng “has no information as to the details of the incident and has been unable to contact Mr. Wang Ping, which casts doubt” on Kingwin Victory’s ability to follow through on the investment by the March 31 deadline, Rongsheng said Wednesday in a statement to the Hong Kong Exchange.
The Beijing Public Security Bureau didn’t immediately respond to a faxed request for comment, and Wang couldn’t immediately be reached. Shares of the company fell as much as 8.1 percent in Hong Kong trade to HK$0.68 on Thursday, down from more than HK$8 in 2011. It was down 5.4 percent as of 9.35 a.m. local time.
Rongsheng has run into financial trouble amid competition with state-owned yards that have government backing and easier access to financing. The company is also seeking investment in its Jiangsu shipyard and bought a stake in an oilfield in Kyrgyzstan as part of efforts to restructure its business.
Shanghai-based Rongsheng said last August it’s entering the energy business and is issuing new shares so it can buy a 60 percent stake in a Kyrgyzstan oilfield. It later said it’s seeking to identify new investment opportunities outside China, including in Central Asia.

Under the terms, Zhejiang Rongsheng Holding Group Co., Ltd. will sell 60.82% and Saintyear Holding Group Co., Ltd. will sell 39.18% stake in Hangzhou Shengyuan Real Estate Development Co., Ltd. For the year ended December 31, 2017, Hangzhou Shengyuan Real Estate Development Co., Ltd. had total assets of CNY 4.05 billion, net assets of CNY 429.66 million, revenues of CNY 296.92 million, and net profit of CNY 187.61 million. The transaction is subject to secondary approval of the Board of Directors of Ningbo United Group Co., Ltd. after Hangzhou Shengyuan Real Estate Development"s assets" audit and assembly work are completed, shareholders" approval of Ningbo United Group Co., Ltd. and approval of China Securities Regulatory Commission. On April 2, 2018, the transaction was approved by the Board of Directors of Ningbo United Group Co., Ltd. in the 2nd meeting of 2018 of 8th directorate. Zhejiang Rongsheng Holding Group Co., Ltd. and Saintyear Holding Group Co., Ltd.s internal decision-making institutions approved the transaction as of April 2, 2018.
As on November 30, 2019, at the first extraordinary meeting of 2019 and the ninth directorate meeting of 2019 adjusted the plan. According to new plan, Ningbo United Group Co.,Ltd. will be acquiring only 60.82% stake in Hangzhou Shengyuan Real Estate Development Co., Ltd. from Zhejiang Rongsheng Holding Group Co., Ltd. for approximately CNY 1.1 billion by issuing approximately 180 million shares. On November 30, 2019, Board of Ningbo United Group approved the adjusted plan. As of December 18, 2019, the transaction was adopted by the shareholders of Ningbo United Group. On December 26, 2019, Ningbo United received "Application Acceptance Form for Administrative License of China Securities Regulatory Commission". On April 7, 2020, Ningbo United Group convened the first interim meeting of the ninth board of directors in 2020 to review and approve the reorganization and update of financial data. China Securities Regulatory Commission disapproved the transaction on May 13, 2020. On October 9, 2020, parties signed supplemental agreement under which consideration has been changed from 181.088 shares to 181.58 million shares. Rongsheng Machinery"s new plant is located in Hefei Economic and Technology Development Zone. The excavator project covers an area of approximately 850 acres. The construction began in November 2010 with production commencing on 28 June 2011. The project was completed in just over than seven months, much shorter than the industry average of 18 months for constructing a general assembly workshop. It indeed has set a standard for engineering construction across the industry.
Rongsheng Machinery"s small excavator production line has commenced operation on 18 May this year, and its engineering machinery business is entering a stage of comprehensive development. The new production facility will have a production capacity of 30,000 hydraulic excavators. Every stage of the excavator production base project, from proposal, and submission for approval to preparation for construction, has enjoyed the close attention and strong support from all levels of leaders in the province and the city as well as the economic development zone. Anhui Provincial Government has designated the project as a major construction project in its "861 Action Plan". The Hefei Municipal Government has also included it as a major implementation project under the Twelfth Five-Year Plan.
Rongsheng Machinery currently produces 16 varieties of hydraulic excavators and two varieties of hydraulic crawler cranes. While constructing a new production base, Rongsheng Machinery has also shifted from direct sales outside province to distribution, increasing the number of its distributors to 10. Rongsheng Machinery has also enhanced its cooperation with financial institutions. In addition, the acquisition of Quanchai Group in April this year has enabled it to secure a stable supply of engines for the engineering machinery segment.
Development of the engineering machinery business will also facilitate China Rongsheng Heavy Industries to increase its RMB-denominated business as an effective means to combat against foreign exchange risk.
